Buckworths is a boutique law firm working exclusively with start-ups and their investors. Approximately 70% of our start-up clients are in the tech space, predominantly made up of fin-tech, bio-tech, med-tech, enviro-tech, SaaS, e-commerce and ed-tech start-ups. The balance of our start-up clients are in F&B and hospitality or consultancies. Our solicitors are highly experienced in the start-up and investment spaces. We actively contribute to the entrepreneurial community by hosting regular events for start-ups and investors.

For start-ups

We are experts in advising on eligibility for the Seed Enterprise Investment Scheme (SEIS) and the Enterprise Investment Scheme (EIS), particularly in more complex scenarios where companies are outside the initial 7 year eligibility period, are marginal in terms of their qualification and/or have complex group structures arising from acquisitions and joint ventures.

We act for start-ups on venture capital rounds at pre-seed, seed, series A and B as well as on exits, whether trade sales, PE transactions and/or mergers via share for share exchanges.

In addition to transactional work, we advise start-ups and their founders on a range of commercial, corporate, IP and employment matters.

For investors

We tend to be a more cost-effective, pragmatic and commercial solution than some of our larger firm competitors. Our work for investors includes:
(i) light touch due diligence reviews of a business with a focus on S/EIS compliance and key risks including around cap tables, employment claims and tax compliance, and review and negotiation of investment documentation;
(ii) detailed review of draft or submitted applications for advance assurance and/or trouble shooting historic transactions to identify any issues that could invalidate EIS; and
(iii) drafting or review, and negotiation of, investment round documents for fund investors.

Our Founder

Our founder, Michael Buckworth, is an entrepreneur in residence with LSBU and UCL and advisor to entrepreneurs at Westminster University. Mike also works closely with several British Embassies in encouraging inward investment into the UK. Mike’s recent book “Built on Rock: The Busy Entrepreneur’s Guide to Start-up Success,” is an Amazon bestseller with several thousand copies sold.
